Terms of Service

These Terms of Service (“Terms”) govern access to and use of Hard Launch (the “Platform”), operated by HELLA Intelligence (“HELLA,” “we,” “us”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. The service

Hard Launch is a software commercialization and go-to-market platform. It provides tools for brand intake, AI-assisted asset generation, CRM, campaign management, ad-account integrations (including Meta), analytics, and related workspace features.

2. Accounts

You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account. Notify us immediately at helix@hellaintel.com if you believe your account has been compromised. You must be at least 18 and using the Platform for a business purpose.

3. Acceptable use

You agree not to:

Use the Platform for any unlawful purpose, including unlawful advertising, spam, or fraud
Upload malware or attempt to disrupt, probe, or reverse engineer the service
Violate Meta, Google, or any other connected platform’s terms when you use those integrations
Misrepresent AI-generated content as human-authored where disclosure is required
Access another customer’s workspace without authorization

4. Your content

You retain ownership of content you upload or create in the Platform (“Customer Content”). You grant HELLA a limited license to host, process, and display Customer Content solely to provide the Platform to you, including processing by subprocessors and AI providers as described in our Privacy Policy.

AI-generated assets are drafts. You are responsible for reviewing, editing, and approving all content before you publish or run ads with it, and for ensuring it complies with applicable law and ad-platform policies.

5. Our intellectual property

The Platform, including software, design, documentation, and the Hard Launch name and branding, is owned by HELLA Intelligence and its licensors. These Terms do not transfer any ownership of the Platform to you.

6. Third-party services

The Platform may connect to third-party services such as Meta, Google, CRM tools, and AI providers. Your use of those services is subject to their own terms and privacy policies. HELLA is not responsible for third-party services. If a third-party integration is unavailable or revoked, related Platform features may stop working until you reconnect them.

7. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from a third party.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” HELLA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that AI output will be accurate, unique, or fit for any advertising or legal purpose without your review.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE PLATFORM. HELLA’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU PAID TO HELLA FOR THE PLATFORM IN THE 12 MONTHS BEFORE THE CLAIM.

10. Indemnity

You will indemnify HELLA against claims arising from your Customer Content, your ads and campaigns, your use of connected platforms, or your violation of these Terms or applicable law.

11. Suspension and termination

We may suspend or terminate access if you violate these Terms, if required by a platform partner (including Meta), or if needed to protect the Platform or other users. You may stop using the Platform at any time. After termination, we will delete personal data as described in the Privacy Policy and Data Deletion Instructions, except where retention is required by law.

12. Changes

We may update these Terms. Continued use of the Platform after the updated Terms are posted constitutes acceptance. If you do not agree, stop using the Platform.

13. Governing law

These Terms are governed by the laws of the State of Idaho, excluding conflict-of-law rules, unless a mandatory local law says otherwise. Courts located in Idaho will have exclusive jurisdiction, except that HELLA may seek injunctive relief in any jurisdiction.
